It's between SEOasis, LLC (“SEOasis”, “we”, “us”) and the business that buys a SEOasis package (“you”). You accept it when you tick the box and pay at checkout, or when you sign it. The day of your first payment is the start date. Whoever accepts confirms they're allowed to sign for the business.
1. What we do
1.1 Your package. You get the services listed on the package you bought at checkout. The package sets the price, billing, any minimum term and what's included. This agreement sets everything else. If the two ever disagree, the package wins on price and what's included, and this agreement wins on everything else.
1.2 Extra terms by service. If your package includes Reddit work, Schedule A applies too. SEO or AI visibility work, Schedule B.
1.3 What's not included. We only do what your package lists. Anything else is a separate purchase. If it was mentioned on a call or in a proposal but isn't in your package or this agreement, it isn't included.
1.4 Renewing and cancelling. Your package renews each billing period until you cancel. To cancel, email mikesack@seoasis.io. Cancelling takes effect 30 days after your email, and any billing period that starts before then is charged as normal. If your package has a minimum term, you can give notice during it, but you're still on the hook for the full minimum term. After a minimum term ends, you carry on at the same billing period until you cancel.
2. Money
2.1 Fees. You pay the fees on your package in advance, in US dollars, through our checkout. You authorize us to charge the card or payment method you used each time a fee is due. Any sales tax is yours.
2.2 30-day money back. If you don't like working with us, you get your money back. Email mikesack@seoasis.io before day 30, counting from your first payment, and we'll refund everything you've paid. No reason needed. We refund within 10 business days, the work stops, and this agreement ends straight away with no 30-day notice. Anything we already published stays up and is yours. This applies once, to your first 30 days with us.
2.3 Refunds otherwise. Apart from 2.2, fees already paid aren't refundable. A chargeback doesn't cancel a fee you owe, and you cover what it costs us to collect it.
2.4 Other costs. Ad spend, software and your website platform are paid by you directly and aren't part of our fee, unless your package says otherwise.
2.5 Late payment. If a payment fails, we'll email you. If it's still unpaid after 7 days, we can pause the work. After 30 days unpaid, we can end this agreement. Spot a billing mistake? Tell us within 15 days.
2.6 Price changes. We can change your price with 30 days' notice by email. The new price only starts from a billing period that begins after those 30 days, so you can always cancel first. We never change the price during a minimum term.
3. What we need from you
3.1 Access. Give us the logins, materials and answers we ask for to do the work. We start within 3 business days of your first payment, and the work moves as fast as we get what we need.
3.2 Your claims. You're responsible for everything you tell us about your business and products being true and legal, including ingredients, materials, results, certifications, health and pricing. We only make factual claims about your products that you've given us or approved. If there's no approved wording, we stick to opinions and experiences, or leave it out.
3.3 Health and regulated products. If what you sell is health-related or regulated, keeping its claims compliant is on you. We don't give medical, legal or regulatory advice. We'll send you anything with a health or clinical claim before it goes live, and your approval means you're confirming it's accurate and allowed.
3.4 Your materials. You confirm you have the rights to any logos, images or content you give us to use.
4. No promised results
Google, AI tools and Reddit are run by other companies and change their rules without warning. We don't promise any rankings, mentions, traffic, leads, sales or revenue. When a platform or moderator removes, limits or ignores our work, that isn't a breach by us. Apart from what this agreement says, we make no other promises, including implied ones.
5. Who owns what
5.1 Yours. Everything we create for you, once it's paid for. Until a billing period is paid, that period's work is still ours.
5.2 Ours. Our methods, processes, templates, tools, software and know-how.
5.3 Your work stays up. After we finish, we won't delete or edit anything we published for you. We can't control removals by platforms, moderators or spam filters, and we'll make any changes you ask for in writing.
5.4 Showing our work. We may name you as a client and share the work and results as examples, never your private information or your customers' details. Email us to opt out. You agree to do one testimonial interview at a time that works for both of us.
6. Keeping things private
Each of us keeps the other's non-public information confidential, uses it only for this agreement, and keeps doing so for 3 years after it ends. That doesn't cover information that's already public, that we already knew, or that the law makes us share.
7. Liability
7.1 The cap. Neither of us owes the other for indirect, incidental or lost-profit damages. Our total liability under this agreement is capped at 50% of the fees for your package's minimum term. On month to month, that's 50% of one month's fee. None of this limits fees you owe us or what you owe under 7.2.
7.2 You cover us for your business. If anyone makes a claim against us because of your products or services, the claims and materials you gave us or approved, or you breaking the law, you'll defend us and cover our costs.
8. Ending
Either of us can end this agreement as 1.4 describes, or if the other seriously breaks it and doesn't fix it within 15 days of written notice. We can also end it as 2.5 says if you don't pay, and straight away if you ask us to do something illegal or mistreat our team. At the end, you keep what's yours under 5.1 and anything owed is still owed. Sections 2, 5, 6, 7 and 9, and the post-ending parts of the schedules, keep applying after the end.
9. The rest
9.1 Disputes. We talk it through in good faith first. If that doesn't settle it within 30 days, Maryland law applies.
9.2 Notices. By email: to us at mikesack@seoasis.io, to you at the email on your checkout account.
9.3 Outside our control. Outages, platform changes, disasters and anything else outside either side's reasonable control aren't a breach.
9.4 Our team. While we work together and for 12 months after, don't hire anyone from SEOasis who worked on your account without asking us first.
9.5 Updates to this agreement. We may publish a new version. We'll email you at least 30 days before it applies to you, and it only starts from your next billing period after that. Every past version stays online at seoasis.io/msa.
9.6 Everything else. We're an independent contractor, we handle our own taxes, and we may use our own contractors. Either of us can pass this agreement to a business that buys or merges with ours. If one part turns out to be unenforceable, the rest still stands. Electronic acceptance counts. This agreement and your package are the whole deal.
Schedule A: Reddit work
These apply when your package includes Reddit marketing or running a subreddit.
A.1 One branded account. All our Reddit activity for you comes from one clearly labeled branded account set up for you. We never use unlabeled or backup accounts to mention or promote your brand.
A.2 It's yours. That account, and any subreddit we create for you, belongs to you. We run it for you while we work together, and we'll hand over the login within 5 business days whenever you ask or when this agreement ends.
A.3 What our comments look like. Every comment and post fits the thread it's in and adds something useful. Nothing generic, copy-pasted, off-topic or salesy. A comment doesn't have to mention your product to count. This is the standard for the program overall, not a checklist for disputing individual comments.
A.4 Where we post. We pick threads and subreddits based on relevance to what you sell, how much attention the thread gets, and fit with your customers. The target list lives in a shared doc and can change over time without changing this agreement.
A.5 Following the rules. We make sure our own posting follows advertising law, including FTC rules on endorsements, and Reddit's rules. The facts you give us about your products are on you (3.2).
A.6 When Reddit steps in. Reddit and moderators can remove posts, limit accounts or ban subreddits whenever they like. That isn't a breach by us. If your branded account gets restricted, we'll get it back or set up a new one at no extra cost.
A.7 Running your subreddit. If your package includes this, give us moderator access while we work together. It's removed at the end, and everything in the subreddit stays yours.
Schedule B: SEO and AI visibility work
These apply when your package includes SEO, AI visibility or website content.
B.1 Access. Give us collaborator access to your website platform, Google Analytics, Google Search Console and anything else the work needs.
B.2 Making changes. We may use our own developers when needed, at no extra cost to you. We won't touch your checkout, payments or anything that could take your site down without your OK.
B.3 Your site. Hosting, backups, your platform and your other apps are yours to look after. We're not responsible for changes made by you, your other vendors or your platform.
B.4 Measuring AI visibility. If your package includes tracking, we measure with the tools and prompts it describes. AI answers change from one search to the next, so what you see on a given day may differ from our reports.
